Below is Asiautos’s Standard Global Terms and Conditions of Sales.
Effective Date: Effective from 2024.1.1
1. Introduction
Welcome to Asiautos. These Terms and Conditions govern the sale of auto aftermarket parts to customers globally, including but not limited to Oceania, Europe, MENA, Middle Asia and Latin Americas. By placing an order with Asiautos, you agree to be bound by these Terms and Conditions.
2. Orders
2.1 Order Acceptance:
All orders are subject to acceptance by Asiautos. We reserve the right to refuse or cancel any order at our discretion.
2.2 Order Confirmation:
Upon acceptance of your order, we will send you an order confirmation via email. This confirmation will include order details such as product descriptions, quantities, prices, and estimated delivery times.
2.3 Order Changes and Cancellations:
Any changes to or cancellations of orders must be requested in writing and are subject to our approval. Cancellations may be subject to restocking fees.
3. Pricing and Payment
3.1 Pricing:
All prices are quoted in USD or as otherwise specified and are subject to change without notice. Prices do not include applicable taxes, duties, or shipping costs, which are the responsibility of the customer.
3.2 Payment Terms:
Payment terms will be specified in the invoice. Accepted payment methods include bank transfers, credit cards, and other methods as agreed upon. All payments must be made in full before shipment unless otherwise agreed in writing.
4. Shipping and Delivery
4.1 Shipping Methods:
Asiautos will arrange for shipping using reputable carriers. Shipping costs will be added to the invoice unless otherwise agreed.
4.2 Delivery Times:
Estimated delivery times will be provided at the time of order confirmation. Asiautos will make reasonable efforts to meet delivery estimates but is not liable for delays beyond our control.
5. Warranty and Returns
5.1 Warranty:
Asiautos offers a warranty on all parts for defects in materials and workmanship for a period of 12months or 30,000 KM (whichever is reached first) from the date of purchase( extension is available for long global transportation). This warranty does not cover normal wear and tear, misuse, or improper installation.
5.2 Returns:
All returns must be authorized by Asiautos in advance. Unauthorized returns will not be accepted. Returned parts must be in new, unused condition and include all original packaging. Return shipping costs are the responsibility of the customer unless the return is due to our error.
5.3 Recalls:
The safety and satisfaction of our customers are our highest priorities and we will at no cost inform customer the product with flaws at first time in any available method and provide countermeasure to reduce customer impact
6. Limitation of Liability
6.1 Limitation:
Asiautos is not liable for any indirect, incidental, or consequential damages arising from the sale or use of our products. Our total liability shall not exceed the purchase price of the product in question.
7. Governing Law
7.1 Jurisdiction:
These Terms and Conditions are governed by the laws of People’s Republic of China. Any disputes arising from these Terms and Conditions shall be resolved in the courts of Shanghai City, People’s Republic of China. Whichever dispute occurs, both parties ought to seek settlement in peaceful way first and escalate to international arbitration institution, e.g. CIETAC, if no settlement is possible.
8. Miscellaneous
8.1 Force Majeure
Asiautos shall not be liable for any failure or delay in the performance of its obligations under this Agreement if such failure or delay is caused by events beyond the reasonable control of Asiautos. Such events shall include, but are not limited to, acts of God, natural disasters, fire, flood, severe weather, war, civil unrest, acts of terrorism, governmental actions, strikes or other labor disturbances, pandemics, epidemics, shortages of materials or transportation, or any other event that could not have been anticipated or controlled by the Asiautos (each, a "Force Majeure Event"). In the event of a Force Majeure Event, the Wholesaler shall promptly notify the Customer in writing, providing reasonable details of the Force Majeure Event and its expected impact on the performance of the Asiautos’s obligations. The Asiautos shall use commercially reasonable efforts to minimize the effects of the Force Majeure Event and to resume performance of its obligations as soon as reasonably practicable. If the Force Majeure Event continues for a period exceeding [30 days], either party may terminate this Agreement without penalty upon written notice to the other party.
8.2 Severability:
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. 8.2 Entire Agreement: These Terms and Conditions constitute the entire agreement between Asiautos and the customer regarding the subject matter herein and supersede all prior agreements and understandings.
8.3 Amendments:
Asiautos reserves the right to amend these Terms and Conditions at any time without prior notice. Any amendments will be effective immediately upon posting on our website. If any scope is not covered in our standard terms and conditions, we will refer to United Nations Convention on Contracts for the International Sale of Goods (CISG) for resolution guideline.
